Terms of Service – Urban Ginova

Welcome to Urban Ginova. These Terms of Service (“Terms”) govern your access to and use of our website, brand, platform, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms.

1. Brand Licensing & Platform Model

Urban Ginova operates as a brand, platform, and reputation licensing provider.

Urban Ginova licenses its name, trademarks, and commercial reputation to selected independent companies (“Licensed Sellers”) that are authorized to operate stores and sell products under the Urban Ginova brand.

Urban Ginova does not act as the merchant, retailer, or seller of record for products offered through the platform.

2. Independent Sellers & Seller of Record

All products available on the platform are sold by independent Licensed Sellers
The Licensed Seller is the seller of record for each transaction
Invoices and fiscal documents are issued exclusively by the Licensed Seller
Each Licensed Seller is solely responsible for:
- product quality and authenticity
- pricing and stock
- shipping and delivery
- returns, refunds, and warranties
- taxes, duties, and legal compliance

Urban Ginova provides brand visibility, platform access, and operational standards, but does not control or manage individual sales transactions.

3. Orders & Payments

Payments are processed through third-party payment providers.

Urban Ginova does not hold customer funds and does not process payments on its own behalf.

Order acceptance, fulfillment, and cancellation decisions are made by the Licensed Seller.

4. Returns, Refunds & Customer Support

Returns and refunds are governed by the policies of the Licensed Seller.

Customer service requests related to orders, products, or fulfillment are handled by the Licensed Seller, even if initial contact is made through Urban Ginova communication channels.

5. Use of the Urban Ginova Brand

Licensed Sellers are authorized to use the Urban Ginova brand only within the scope of their license agreement.

Unauthorized use of the brand, misrepresentation, or conduct that may damage the Urban Ginova reputation is strictly prohibited.

6. Intellectual Property

All trademarks, logos, designs, and content associated with Urban Ginova remain the exclusive property of Urban Ginova or its licensors.

No rights are granted except as expressly provided in these Terms.

7. Limitation of Liability

To the maximum extent permitted by law:

Urban Ginova shall not be liable for any product-related claims
Urban Ginova is not responsible for acts or omissions of Licensed Sellers
Any claims related to purchases must be directed to the Licensed Seller

8. Indemnification

You agree to indemnify and hold harmless Urban Ginova from any claims arising from transactions, products, or conduct of Licensed Sellers.

9. Governing Law

These Terms are governed by the laws of Portugal.

10. Changes to These Terms

Urban Ginova may update these Terms at any time. Continued use of the Services constitutes acceptance of the revised Terms.
